Twitter's board said Tuesday that it plans to "close the transaction and enforce the merger agreement" between Elon Musk and Twitter, The New York Times reports.

Driving the news: "The board and Mr. Musk agreed to a transaction at $54.20 per share," Twitter's board said in a statement to The New York Times. "We believe this agreement is in the best interest of all shareholders. We intend to close the transaction and enforce the merger agreement.”


The big picture: Musk said last week that the $44 billion deal with Twitter was "temporarily on hold" until CEO Parag Agrawal publicly proves that less than 5% of users are bots or spam accounts.

"My offer was based on Twitter's SEC filings being accurate," Musk said in a tweet. "Yesterday, Twitter's CEO publicly refused to show proof of <5%. This deal cannot move forward until he does."

Yes, but: Musk currently has a contractual obligation to buy Twitter at the agreed price, Axios' Felix Salmon writes.



This followed an earlier statement from Twitter that said it was “committed to completing the transaction on the agreed price and terms as promptly as practicable."
Predicting he’ll pay the $1B to end this and act like the victim.

I swear ya'll comment and know sh*t about business and what happens. Until you come to terms about an agreement is when you can really look "under the hood" to see if a companies books and filings are accurate with their own numbers thought the auditing process.

Think of it as a player failing his physical prior to a trade. The other team is not allowed to evaluate a player until the deal has been reached prior to finalization.

Twitter said that 95% of its users are human. That sh*t is cap! Elon is now asking them to prove it. If he is buying a social media service where upwards of 25 to 35% of its users are bots that 58 dollar a share (44 billion in price) is stupid and over valued.

Twitter has to watch itself, if Elon backs out of the deal and he has a case to be held in court the share price will be slashed and the investors and the board are fu*ked.

You have to understand Elon is buying an established social media network that has huge limitations, he could develop his own and take time to market it . The motherfu*ker did vertically integrate Tesla.

THis is real business aint no n*gga sh*t.... where a motherfu*ker says deal and you have to honor it.
